Spencer Spirit Acquires Hot Topic: Deal, Footprint and Real Estate Analysis
On September 2, 2026, Spencer Spirit Holdings, parent company of Spencer's, Spirit Halloween and Spirit Christmas, completed its acquisition of Hot Topic, Inc. from Sycamore Partners. The deal, reportedly valued at about $350 million, adds Hot Topic, BoxLunch and Her Universe to the portfolio and creates a six-brand specialty retail company with 3,139+ store locations in all 50 states and an estimated $3.10 billion in combined annual sales.
The acquisition gives Spencer Spirit a much larger base of year-round revenue. Spirit Halloween's 1,550+ seasonal pop-up stores drive most of the Company's growth, but that revenue is concentrated in the third and fourth quarters. Hot Topic and BoxLunch bring roughly 900 permanent mall stores selling licensed pop-culture, music, anime and gaming merchandise twelve months a year. The combined store count now splits almost evenly between seasonal pop-ups and permanent mall retail, and both formats lease from many of the same landlords.
